Terms of Service (CoreUX)

These Terms of Service (“Terms”) govern your access to and use of CoreUX’s websites and services (the “Services”). By using the Services, you agree to these Terms.

TL;DR

  • Don’t misuse the platform (especially messaging).
  • You’re responsible for consents and compliance if you run email/SMS campaigns.
  • Subscriptions are billed as shown at checkout; trials convert unless canceled.
  • We provide the service “as-is” and limit liability to the maximum allowed by law.

1) Eligibility and Acceptance

You must be at least 18 (or the age of majority where you live) to use the Services. If you use the Services on behalf of a business, you represent you have authority to bind that business.

2) The Services

CoreUX provides CRM and automation tools (and may offer add-on services such as campaign management, copywriting, design, and development). We may modify, update, or discontinue parts of the Services over time.

Some services may also be governed by a separate written agreement (like a Master Services Agreement, Statement of Work, or DPA). If there’s a conflict, that separate agreement controls for that scope.

3) Accounts

You are responsible for:

  • Keeping your login credentials secure
  • All activity under your account
  • Providing accurate information

We may suspend accounts to protect security or investigate suspected misuse.

4) Fees, Trials, Billing

If you start a paid subscription or trial:

  • Fees, billing frequency, and renewal terms are shown at checkout.
  • Trials may convert to paid subscriptions unless canceled before the trial ends (as described during signup).
  • Payments are processed by third-party payment processors.

Except where required by law or explicitly stated in writing, fees are non-refundable.

5) Acceptable Use

You agree not to:

  • Use the Services for illegal, harmful, deceptive, or abusive activity
  • Attempt to access non-public systems or data
  • Interfere with or disrupt the Services
  • Upload malware or exploit vulnerabilities
  • Scrape, reverse engineer, or circumvent security unless permitted by law

6) Messaging, Email, and SMS Compliance (Very Important)

If you use CoreUX to send email, SMS, or messages through integrations:

  • You are solely responsible for complying with applicable laws and industry rules (including consent, opt-outs, and sender identification).
  • You must only message people who have provided legally valid permission where required.
  • You must honor unsubscribe/STOP requests and suppression lists.
  • You must not send spam, deceptive content, or prohibited content.

We may suspend or terminate messaging features if we detect abuse, deliverability threats, or compliance risk.

7) Your Content and Data

You retain ownership of the content and data you submit to the Services (“Customer Content”).

You grant CoreUX a limited license to host, store, process, and display Customer Content only to provide and improve the Services, maintain security, prevent abuse, and meet legal obligations.

You represent you have the rights to submit and process Customer Content, including any personal information within it.

8) Integrations and Third-Party Services

The Services may connect to third-party platforms (social networks, calendars, messaging services, payment processors, etc.). Third-party services are governed by their own terms and policies, and may change without notice.

CoreUX is not responsible for third-party outages, API changes, or third-party terms violations caused by your configuration or usage.

9) AI Features (If Available)

If the Services include AI features:

  • AI outputs may be inaccurate and are provided for assistance only.
  • You are responsible for reviewing outputs before use.
  • Do not submit sensitive data unless you understand and accept the relevant settings and data handling.

10) Intellectual Property

CoreUX owns all rights to the Services, including software, design, branding, and documentation, except for Customer Content.

You may not copy, resell, or create derivative works of the Services except as permitted by these Terms or in writing.

11) Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the Services will be uninterrupted, error-free, or that particular outcomes (sales, conversions, deliverability, etc.) will be achieved.

12) Limitation of Liability

To the maximum extent permitted by law:

  • CoreUX will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, business interruption).
  • CoreUX’s total liability for any claim relating to the Services will not exceed the amount you paid to CoreUX for the Services in the 12 months before the event giving rise to the claim (or $100 if you paid nothing), unless a different limit is required by law.

13) Indemnification

You agree to defend, indemnify, and hold harmless CoreUX from claims arising out of:

  • Your Customer Content
  • Your use of messaging/email/SMS features (including consent and compliance issues)
  • Your violation of these Terms or applicable law
  • Your misuse of third-party integrations

14) Suspension and Termination

We may suspend or terminate access if you:

  • Violate these Terms
  • Create security or legal risk
  • Fail to pay fees when due

You may stop using the Services at any time. Account cancellation and data deletion/export availability may depend on your plan and any separate written agreement.

15) Governing Law and Venue

These Terms are governed by the laws of [State], excluding conflict-of-law rules. Any dispute will be brought in the state or federal courts located in [County/State], unless a separate written agreement states otherwise.

16) Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date indicates the effective date of changes. Continued use after changes means you accept the updated Terms.
